ARIEL'S UNDER THE SEA SWEEPSTAKES

OFFICIAL RULES
NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE "ARIEL'S UNDER THE SEA SWEEPSTAKES" (THIS "SWEEPSTAKES") BEGINS AT 12:00 AM (ET) ON TUESDAY, AUGUST 12, 2008 AND ENDS AT 11:59 PM (ET) ON FRIDAY, SEPTEMBER 12, 2008.

1. HOW TO ENTER: Complete official entry form available at http://contests.glam.com/underthesea and click on "Submit". ON-LINE ENTRIES MUST BE RECEIVED BY 11:59 PM (ET) ON FRIDAY, SEPTEMBER 12, 2008. Limit: one entry per person. No illegible, incomplete, forged or altered entries will be accepted. All entries become the exclusive property of Glam Media, Inc. ("Glam") and Sponsor (as defined below) and will not be returned.

2. SELECTION OF WINNER: Winner will be determined from all eligible entries received in a random drawing on or about September 19, 2008, by Popular Media, LLC, an independent judging organization, whose decisions are final on all matters relating to this Sweepstakes. Winner will be notified by email.

3. PRIZE AND ODDS: One (1) Grand Prize: A trip to New York City to see "Disney's The Little Mermaid on Broadway" for Winner and up to three guests (each a "Guest"). The trip includes four (4) tickets to "Disney's The Little Mermaid on Broadway," a pre-show backstage tour, train tickets for Winner and Guests from the Amtrak station nearest to the Winner's residence at the time of entry (as determined by Sponsor) to New York City and one hotel room for four (4) people for one night's stay at a New York City (Manhattan) hotel selected and booked by Sponsor (the "Prize"). Winner and Guests must travel together on same itinerary and must attend the same performance. All arrangements, including selection of performance date and booking of train tickets and hotel, will be coordinated through Sponsor and must be scheduled no later than March 19, 2009. All bookings must be scheduled at least one month prior to the desired performance date and are be subject to availability, blackout dates, and other restrictions. All expenses not included in the Prize are the sole responsibility of Winner. If a Guest is a minor, Guest must provide written consent of a parent or legal guardian (unless such Guest is the child of Winner). Approximate retail value: $1780 (depending on Winner's location). Odds of winning depend upon the number of eligible entries received. Prize will be awarded (assuming sufficient number of eligible entries). Sponsor reserves right to substitute prize of equal or greater value. Sponsor/Glam responsible only for Prize delivery; not responsible for Prize utility, quality or otherwise. No other substitution or transfer of Prize permitted. Taxes and fees, if any, are the sole responsibility of Winner.

4. ELIGIBILITY: This Sweepstakes is open to individual legal residents of the States of Maine, New Hampshire, Vermont, Massachusetts, Connecticut, New York, New Jersey, Delaware, Maryland, Pennsylvania or the District of Columbia (collectively, the "Eligible States") who have attained the age of majority in their State of residence as of August 12, 2008, except employees (and their immediate families and members of the same household) of Sponsor or Glam and their respective affiliates, agents, judges and advertising and promotion agencies.

5. VERIFICATION OF WINNERS AND DELIVERY OF PRIZE: Winner will be required to sign an affidavit of eligibility and liability release and, where permitted, a publicity release. Each Guest must sign a travel/publicity release. Prize may be awarded to alternate winner if affidavits/releases are not returned within 14 days after mailing to Winner or if prize notifications are returned as undeliverable. Winner agrees to Sponsor's use of Winner's name, address, likeness, and/or Prize information for promotional purposes in any medium without additional compensation to the extent permitted by law; any such use with respect to minors to be subject to prior approval of parent or legal guardian.

6. GENERAL: This Sweepstakes is void outside the Eligible States and where prohibited or restricted by law and subject to all applicable federal, state and local laws and regulations. This Sweepstakes will be governed by the internal laws of the State of New York without regard to principles of conflicts of law or choice of law (other than Section 5-1401 and Section 5-1402 of the General Obligations Laws of the State of New York). Any and all legal actions or claims arising in connection with this Sweepstakes must be brought in a court of competent jurisdiction within the United States of America. Sponsor, Glam and judges not responsible for late, lost, stolen, damaged, garbled, incomplete, misaddressed, postage due, or misdirected entries, mail or communications, for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines or data corruption, theft, destruction, unauthorized access to or alteration of entry materials, loss or otherwise. Further, Sponsor, Glam and judges not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant's e-mail account to receive e-mail messages. The use of automated software or computer programs to register or to enter the Sweepstakes is prohibited and any individual who uses or attempts to use such methods to register or to enter will be disqualified. Each of Sponsor and Glam disclaims any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Sweepstakes, and reserves the right, at its sole discretion, to modify, cancel, terminate or suspend this Sweepstakes should any virus, bug, technical failures, unauthorized human intervention or other causes beyond Sponsor's or Glam's control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes. In the event of any such cancellation, termination or suspension, a notice will be posted and a random drawing will be held from among all eligible, non-suspect entries received prior to such time. Sponsor reserves the right, at its sole discretion, to disqualify any entrant (and his or her Sweepstakes entry) from this Sweepstakes or any other promotion conducted now or in the future by Sponsor or any of its affiliates if he or she tampers with the entry process or if his or her fraud or misconduct affects the integrity of the Sweepstakes. Sponsor and Glam reserve the right to correct clerical or typographical errors in promotional materials. In the event of a dispute over the identity of an on-line entrant, entry will be deemed submitted by the authorized holder of the email account as of date of entry. An "authorized holder" means the natural person who is assigned to an email address by an internet access provider, on-line service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. By participating in this Sweepstakes, each entrant accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the judges and warrants that s/he is eligible to participate in this Sweepstakes.By accepting Prize, Winner agrees to release Sponsor, Glam and their respective directors, employees, officers, and agents, including without limitation, their respective advertising and promotion agencies, from any and all liability, loss or damages arising from or in connection with the awarding, receipt and/or use or misuse of Prize or participation in any Prize-related activities.

7. CAUTION. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Requests must be received by [October 20], 2008. Winners list will be sent after selection of Winner.
